Party a✕ and Party B✕ wish to explore a potential business relationship and may share confidential information. The parties agree to protect such information as set forth below.

Confidential Information

"Confidential Information" means any non-public business, technical, or financial information disclosed by one party to the other, whether marked or not, that a reasonable person would understand to be confidential.

Obligations

Each party agrees to (a) use Confidential Information only for the purpose of evaluating the relationship; (b) protect it with the same degree of care it uses for its own confidential information, but no less than reasonable care; and (c) not disclose it to any third party without prior written consent.

Exclusions

The obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to the receiving party, is independently developed, or is required to be disclosed by law.

Term

This agreement remains in effect for Term✕ from the date of signing.

Acknowledgment

The parties have read and agree to be bound by this agreement.
